These Vendor Terms of Use ("Terms") constitute a legally binding agreement between Eventive AI, LLC, a Pennsylvania limited liability company, doing business as Eventio ("Eventio," "Company," "we," "us," or "our"), and the vendor, venue, or service provider accessing or using the Platform or accepting these Terms ("Vendor," "you," or "your"). These Terms govern Vendor's access to and use of the Eventio website, marketplace, tools, and related services (collectively, the "Platform"). By registering for an account, publishing a profile, or otherwise accessing or using the Platform, Vendor acknowledges that Vendor has read, understood, and agrees to be bound by these Terms.
By accessing, registering for, submitting information to, or otherwise using Eventio's website, web application platform, mobile applications, tools, or services (collectively, the "Platform"), including by creating a vendor profile, uploading content, communicating with Users, or booking jobs, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not access or use the Platform.
Access to certain features and services of the Platform requires registration for a vendor account. Vendors must create an account and provide accurate, complete, and current information in order to access vendor-specific functionality, including without limitation profile creation, messaging, booking tools, and payment facilitation. Individuals or entities that access the Platform without registering as a vendor are considered site visitors and may have limited access to Platform features.
All vendor registrations and account types are subject to Eventio's review and approval. Eventio reserves the right, in its sole discretion, to approve, deny, suspend, or revoke any registration or account at any time for any lawful reason, including without limitation considerations relating to supply and demand, platform quality, geographic coverage, cost of maintaining data or services, compliance requirements, risk management, or other business or operational considerations. Eventio is not obligated to provide a reason for declining or terminating a registration or account.
Registration or approval to join Eventio does not guarantee continued access to the Platform, placement, visibility, inquiries, bookings, or revenue.
Eventio operates a digital marketplace and technology platform that functions as a neutral venue through which Vendors and Users may discover one another, communicate, and connect for the potential provision of event-related services and products. Eventio does not provide, control, supervise, manage, or direct any services or products offered by Vendors, does not set pricing or contractual terms between Vendors and Users, and does not participate in or enforce any agreements entered into between Vendors and Users.
The Platform may include algorithmic tools, search functionality, filters, rankings, or matching features, including without limitation Eventio Match, that surface or organize Vendor profiles based on information provided by Vendors, preferences or inputs provided by Users, historical activity, availability, or other automated criteria. Vendor acknowledges and agrees that any such results are generated through automated or data-driven processes for informational and discovery purposes only and do not constitute an endorsement, recommendation, certification, guarantee, or evaluation by Eventio of any Vendor or User.
To the extent Eventio facilitates or enables payment processing, invoicing, deposits, escrow-like features, or fund transfers between Vendors and Users, Eventio does so solely as a technology facilitator and not as a party to, guarantor of, or agent for any transaction. Payment facilitation does not create any agency, fiduciary, or trust relationship between Eventio and any Vendor or User and does not alter Eventio's role as a neutral venue.
Eventio does not endorse, certify, or guarantee any Vendor or User and makes no representations regarding the quality, safety, legality, suitability, availability, or performance of any services or products offered through the Platform. All transactions, engagements, and obligations arise solely between Vendors and Users.
Vendor acknowledges and agrees that Eventio is not a party to, and shall have no responsibility or liability arising from, any agreement, transaction, booking, or dispute between Vendor and any User. Vendor acts solely as an independent contractor, and nothing in these Terms shall be deemed to create any partnership, joint venture, agency, employment, or fiduciary relationship between Vendor and Eventio. Nothing in these Terms shall be construed to restrict Vendor from offering or providing services through other platforms, marketplaces, or channels, provided that Vendor complies with the non-circumvention obligations set forth in these Terms with respect to relationships initiated through the Platform.
Vendor represents and warrants that Vendor is duly organized and authorized to operate its business, holds all licenses, permits, and approvals required to provide its services, and maintains any insurance customarily required for such services. Vendor further represents that all information provided to Eventio is true, accurate, complete, and current.
Vendor represents and warrants that Vendor is at least eighteen (18) years of age and has the legal capacity to enter into binding contracts. If Vendor is accessing or using the Platform on behalf of a business entity, Vendor further represents and warrants that Vendor has the authority to bind such entity to these Terms. Eventio does not permit individuals under the age of eighteen (18) to register as Vendors or to offer services through the Platform.
Vendor acknowledges and agrees that Eventio provides the Platform solely to facilitate interactions between Vendors and Users and that Eventio does not control, supervise, or guarantee the conduct, identity, or eligibility of any User. For purposes of these Terms, "Users" means any individual or entity that accesses or uses the Platform, including without limitation: (a) individuals, organizations, or representatives planning, hosting, or managing events for personal, professional, commercial, nonprofit, or institutional purposes; (b) individuals or teams seeking to discover, evaluate, communicate with, or engage Vendors through the Platform; and (c) any authorized representatives, employees, contractors, or agents acting on behalf of such individuals or entities. Users may include both paying and non-paying Users and may access the Platform through web-based, mobile, or other interfaces made available by Eventio.
Vendor is solely responsible for maintaining the confidentiality of its account credentials and for all activity conducted through its account, whether authorized or unauthorized. Vendor agrees to promptly update its information to ensure continued accuracy.
The Platform is intended for business and commercial use only. By registering for an account and creating a vendor profile, Vendor represents and warrants that Vendor is either (a) acting as a self-employed individual or sole proprietor conducting business under Vendor's own name, or (b) an employee, contractor, or authorized agent of an independent business entity, such as a corporation, limited liability company, partnership, or other legal entity, and has the authority to bind such entity to these Terms.
Vendor further represents and warrants that Vendor will use the Platform solely for legitimate business purposes and not for personal, consumer, or household use. Vendor is solely responsible for obtaining, maintaining, and complying with all licenses, registrations, permits, certifications, insurance, and other requirements applicable to Vendor's business and the services or products offered through the Platform.
Vendor agrees to comply with all applicable local, state, federal, and international laws, regulations, rules, and conventions in connection with Vendor's use of the Platform, communications with Users, receipt of payments, and provision of services.
Vendor is solely responsible for all activity conducted through Vendor's account, including any actions taken by individuals to whom Vendor grants access or permissions ("Authorized Users"). Vendor may permit Authorized Users to access or act on Vendor's account only if such individuals meet the eligibility requirements set forth in these Terms, including without limitation being at least eighteen (18) years of age and acting as Vendor's employees, contractors, or authorized agents.
By granting account access or permissions to any Authorized User, Vendor represents and warrants that Vendor has authorized such individual to act on Vendor's behalf and acknowledges that Vendor remains fully responsible and liable for all acts and omissions of Authorized Users, including without limitation communications with Users, responses to inquiries, confirmations of bookings, acceptance of payments, and compliance with these Terms.
Vendor acknowledges and agrees that any violation of these Terms by an Authorized User shall be deemed a violation by Vendor. Eventio reserves the right to suspend, restrict, or terminate Vendor's account or access to the Platform if any Authorized User engages in conduct that violates these Terms or applicable law.
Vendor may submit information, images, videos, pricing, descriptions, branding, credentials, and other materials to the Platform ("Vendor Content"). Vendor represents and warrants that it owns or otherwise has all rights necessary to submit such Vendor Content and that such content does not infringe or violate any intellectual property, privacy, publicity, or other rights of any third party.
Vendor hereby grants to Eventio a worldwide, royalty-free, non-exclusive, perpetual, irrevocable, sublicensable license to use, host, reproduce, modify, adapt, publish, display, distribute, and otherwise exploit Vendor Content in connection with the operation, improvement, and promotion of the Platform, including for marketing, analytics, and AI-powered discovery or recommendation features. Eventio reserves the right, in its sole discretion, to edit, reformat, suspend, or remove Vendor Content at any time.
Vendor represents and warrants that all information submitted to or displayed on the Platform, including without limitation business name, contact information, location, credentials, skills, experience, pricing, availability, images, and descriptions of services ("Vendor Content"), is accurate, complete, and current at the time it is provided.
By completing and publishing a vendor profile, Vendor consents to such profile and Vendor Content being displayed to Users and, where applicable, to the public. Vendor agrees to keep all Vendor Content current and to promptly update or correct any information that is or becomes inaccurate, incomplete, misleading, or outdated.
Vendor shall not provide any false, misleading, or deceptive information regarding Vendor's identity, geographic location, business, qualifications, skills, experience, or services offered. Vendor agrees to promptly correct any Vendor Content that is or becomes false or misleading.
Eventio reserves the right, in its sole discretion, to suspend, restrict, or terminate Vendor's account, or to remove or modify Vendor Content, if Eventio reasonably believes that Vendor Content is false, misleading, inaccurate, incomplete, outdated, or otherwise violates these Terms.
Eventio welcomes feedback, comments, ideas, suggestions, and other input regarding the Platform ("Submissions"). Vendor acknowledges and agrees that all Submissions are provided voluntarily and without expectation of compensation, confidentiality, or attribution. Eventio may use, disclose, reproduce, modify, distribute, and otherwise exploit Submissions for any purpose, including improving the Platform, without restriction or obligation to Vendor.
Vendor grants Eventio a non-exclusive, royalty-free right to identify Vendor as a participant on the Platform and to use Vendor's name, logo, trademarks, and publicly available profile information for marketing, promotional, and informational purposes related to the Platform, including without limitation on the Eventio website, social media, marketing materials, and investor or partner presentations. Eventio shall not use Vendor's name or marks in a manner that implies endorsement of Eventio or any third party without Vendor's consent.
To the extent content is created, generated, modified, or enhanced using tools or features made available through the Platform, including without limitation image generation, automated content, templates, or artificial intelligence–powered tools ("Platform-Generated Content"), Vendor/User grants Eventio a non-exclusive, royalty-free, worldwide license to use, host, store, reproduce, modify, display, distribute, and otherwise exploit such Platform-Generated Content for purposes related to operating, improving, and promoting the Platform, subject to applicable privacy laws.
The Platform may permit messaging, contact requests, or other communications between Vendors and Users. Vendor acknowledges that all such communications occur solely between Vendor and the applicable User, and that Eventio does not monitor, control, or assume responsibility for such communications.
Vendor agrees to use client information obtained through the Platform solely for the purpose of responding to legitimate inquiries or performing services requested through the Platform and in compliance with applicable privacy and data protection laws. Vendor shall not sell, rent, disclose, or otherwise misuse client information, nor use such information for unsolicited marketing or any purpose unrelated to the Platform.
By using the Platform, Vendor consents to receiving electronic communications from Eventio, including notices, disclosures, account updates, service-related communications, and other communications related to the Platform or these Terms. Vendor agrees that any notices, agreements, disclosures, or other communications provided electronically satisfy any legal requirement that such communications be in writing.
If Vendor elects to provide a mobile telephone number and affirmatively opts in, Vendor further consents to receive text messages (SMS or MMS) from Eventio for purposes related to Vendor's use of the Platform, including without limitation notifications regarding potential job opportunities, inquiries from Users, account activity, service updates, and operational or support communications from Eventio personnel. Message frequency may vary.
Consent to receive text messages is not a condition of using the Platform. Vendor may opt out of receiving text messages at any time by following the opt-out instructions included in the message (such as replying "STOP") or by contacting Eventio support. Standard message and data rates may apply. Vendor represents and warrants that Vendor is the authorized subscriber or customary user of the mobile number provided and that Vendor has authority to consent to receive text messages at such number. Eventio does not guarantee the delivery of text messages and shall not be liable for delays, failures, or undelivered messages.
Vendor acknowledges and agrees that the Platform is intended to be the primary means through which Vendors and Users communicate, schedule meetings, exchange information, and conduct business arising out of connections made through the Platform. Except as expressly permitted by Eventio, Vendor shall use Eventio's messaging, scheduling, and video conferencing tools to communicate with Users regarding inquiries, bookings, services, and related matters.
Vendor agrees not to solicit, encourage, or facilitate Users to communicate, transact, or make payments outside the Platform for any services or products that arise from a connection initiated through the Platform, whether before or after an initial booking. Vendor further agrees not to share or request direct contact information (including phone numbers, email addresses, or external messaging handles) for the purpose of circumventing the Platform.
All payments for services that originate from or are connected to a relationship established through the Platform shall be processed through Eventio, unless Eventio expressly authorizes otherwise in writing. Vendor acknowledges that processing payments outside the Platform for such services constitutes a material breach of these Terms.
Vendor agrees to promptly notify Eventio if Vendor becomes aware that a User is attempting to circumvent the Platform, including by requesting off-platform communication or payment. Eventio reserves the right to investigate suspected circumvention and to take appropriate action, including withholding payments, suspending accounts, or terminating access to the Platform.
Nothing in this section shall prohibit Vendor from engaging in independent business relationships with Users that are wholly unrelated to the Platform and that did not arise from a connection made through the Platform.
All bookings, quotes, and service agreements are entered into directly between Vendor and Users. Eventio is not a party to any such agreement and does not assume responsibility for the performance, quality, legality, safety, or completion of any services or products provided by Vendor. Vendor acknowledges and agrees that Eventio shall have no liability for payment errors, failed payments, incorrect payment amounts, or other issues arising from User actions or omissions.
Eventio may facilitate payment processing, including deposits, progress or installment payments, and final payments, solely as a technology facilitator. Deposits and progress payments, if applicable, are released to Vendor upon successful payment by the User, subject to applicable processor requirements.
Final payments may be collected from the User up to seven (7) days prior to the date services are scheduled to be provided. Such final payments may be held by Eventio in a custodial or escrow-like manner for administrative convenience and risk mitigation purposes only. Eventio does not act as an escrow agent or fiduciary. Final payment funds shall be released to Vendor promptly after the User confirms receipt of the applicable services on the date services are provided.
In the event of a dispute between Vendor and a User regarding services, performance, or payment, Vendor and User agree to first attempt to resolve the dispute directly and in good faith. Eventio does not adjudicate disputes and does not determine fault or liability. If a dispute is escalated to Eventio, Eventio may, in its discretion, continue to hold disputed funds until the parties reach a mutual written resolution or until a final determination is made through arbitration, court order, or other binding dispute resolution process. Eventio shall release funds in accordance with such resolution or determination.
Vendor acknowledges and agrees that Eventio does not inspect, verify, supervise, or confirm the completion or quality of Vendor's services and relies solely on User representations and confirmations for purposes of payment release.
Vendor is solely responsible for any chargebacks, reversals, refunds, penalties, or fees arising from User payments related to Vendor's services. Eventio reserves the right to debit Vendor accounts or withhold future payments as necessary to comply with payment processor requirements or applicable law.
Payment processing services may be provided by one or more third-party payment processors, and Vendor's use of such services is subject to the applicable processor's terms, policies, and rules. Eventio is not responsible for the acts or omissions of any third-party payment provider.
Vendor acknowledges and agrees that Vendor shall not receive any interest, earnings, or other compensation on any funds held by or on behalf of Eventio in connection with payment facilitation, including any deposits, progress payments, or final payments held prior to release. Any interest or other amounts earned on such funds, if any, shall belong solely to Eventio or the applicable payment processor, to the extent permitted by law.
Eventio may, from time to time, make available a Vendor Referral Program ("Referral Program") that allows eligible Vendors ("Referring Vendor") to invite third parties to register as vendors on the Platform ("Referred Vendor") in exchange for potential rewards. Participation in the Referral Program is subject to these Terms, any supplemental program guidelines published by Eventio, and Eventio's sole discretion. The Referral Program is optional and does not affect Vendor's other rights or obligations under these Terms.
To participate in the Referral Program, Referring Vendor must hold an active, good-standing vendor account on the Platform at the time a referral is submitted and at the time a reward is issued. Eventio reserves the right to determine eligibility in its sole discretion and to disqualify any Vendor from participation at any time.
Upon registration, eligible Vendors will be assigned a unique referral code and referral link. Vendor's referral code is personal to Vendor's account and may not be transferred, sold, or assigned to any third party. Vendor is solely responsible for any use of Vendor's referral code or link.
Subject to the qualification conditions set forth in Section 9A.5, a Referring Vendor who successfully refers a new Vendor to the Platform may be eligible to receive the following rewards, at Eventio's then-current reward rates:
(a) A cash payment issued via Stripe to Referring Vendor's connected payment account;
(b) A platform credit applied to Referring Vendor's account, which may be applied toward future Eventio commissions or fees as specified by Eventio.
Reward amounts are subject to change at Eventio's sole discretion with thirty (30) days' prior notice. Rewards have no cash value except as expressly provided by Eventio, are non-transferable, and may not be combined with other promotions unless expressly permitted by Eventio.
A referral shall be deemed qualified, and a reward potentially issuable, only when all of the following conditions are satisfied:
(a) The Referred Vendor registers on the Platform using the Referring Vendor's unique referral link or code;
(b) The Referred Vendor completes a full vendor profile on the Platform, including all required profile sections;
(c) Either (i) the Referred Vendor completes their first paid booking through the Platform, or (ii) the Referred Vendor maintains an active, published vendor profile on the Platform for a continuous period of sixty (60) days following profile completion, whichever occurs first. For purposes of this section, an "active profile" means a vendor profile that is (A) published and publicly visible on the Platform, (B) not suspended, restricted, flagged, or under investigation by Eventio, (C) inclusive of all required profile sections including business information, service descriptions, pricing, portfolio, and at least one verified contact method, and (D) associated with a vendor account that has logged into the Platform at least once during the sixty (60) day period. Eventio reserves the right to determine in its sole discretion whether a profile meets the criteria for an active profile for purposes of reward qualification.
Attribution is determined at the time of registration and is final and immutable. If multiple referral signals are present, Eventio's attribution logic controls and Eventio's determination is final.
Qualified rewards are subject to a thirty (30) day review and fraud hold period following qualification before issuance. Cash rewards are processed and paid on a monthly basis. Platform credits are applied to Referring Vendor's account following the expiration of the fraud hold period. Eventio reserves the right to delay, withhold, or reverse any reward pending investigation of suspected fraud, abuse, or policy violations.
Referring Vendor must have a valid, connected Stripe Express account in order to receive cash reward payments. Eventio shall have no obligation to issue cash rewards to any Vendor that has not completed Stripe Connect onboarding. Platform credits issued to a Referring Vendor's account do not expire unless Vendor's account is suspended or terminated.
The following conduct is prohibited and will result in immediate disqualification from the Referral Program, forfeiture of any pending or unissued rewards, and may result in account suspension or termination:
(a) Self-referral, including without limitation referring Vendor's own accounts, affiliated accounts, or accounts under common ownership or control;
(b) Creating fictitious, duplicate, or fraudulent accounts for the purpose of generating referral rewards;
(c) Misrepresenting the Platform or the Referral Program to prospective Referred Vendors;
(d) Referring individuals or entities that do not intend to actively use the Platform as vendors;
(e) Any other conduct that Eventio reasonably determines to be abusive, deceptive, or inconsistent with the purpose of the Referral Program, including without limitation:
(i) engaging in harassing, threatening, abusive, discriminatory, or hostile communications toward Users, clients, prospective clients, other Vendors, or Eventio employees, contractors, or representatives, whether through Platform messaging tools or otherwise in connection with services or relationships originating from the Platform;
(ii) using Platform messaging or communication tools to solicit, intimidate, pressure, or engage in inappropriate contact with clients or prospective clients, including without limitation sending unsolicited promotional messages, making repeated unwanted contact after a client has declined to engage, or using client contact information for any purpose unrelated to a legitimate service inquiry or booking;
(iii) engaging in conduct toward other Vendors that is disparaging, defamatory, threatening, or designed to interfere with another Vendor's business relationships or standing on the Platform, including without limitation submitting false reviews, making baseless complaints, or attempting to redirect another Vendor's clients;
(iv) making false, misleading, or deceptive representations to clients, prospective clients, or other Vendors regarding the nature, scope, pricing, or quality of services, or regarding Eventio's endorsement, certification, or recommendation of any Vendor;
(v) engaging in conduct at or in connection with an event — including during setup, execution, or breakdown — that is unprofessional, unsafe, disruptive, or that reflects poorly on the Platform or its community, as reasonably determined by Eventio;
(vi) sharing, disclosing, or misusing client personal information, contact details, or event details obtained through the Platform for any purpose other than fulfilling a confirmed booking; or
(vii) retaliating against a client, prospective client, or other Vendor who submits a complaint, review, or dispute in good faith through the Platform.
Referring Vendor is solely responsible for all federal, state, and local tax obligations arising from rewards received through the Referral Program, including without limitation income taxes and self-employment taxes. Eventio may be required to report referral rewards to applicable tax authorities, including without limitation by issuing IRS Form 1099-NEC or other applicable tax forms, where total rewards paid to a Referring Vendor meet or exceed applicable federal or state reporting thresholds in a calendar year. Vendor acknowledges that reporting thresholds are subject to change under applicable law and that Vendor remains solely responsible for all tax obligations regardless of whether Eventio is required to issue a tax form. Vendor agrees to provide Eventio with accurate tax identification information upon request and acknowledges that failure to do so may result in withholding or delay of reward payments.
Eventio reserves the right to modify, suspend, or discontinue the Referral Program, or to change reward amounts, qualification criteria, or program terms, at any time with thirty (30) days' prior notice to active participants, except where immediate action is required to address fraud, abuse, or legal compliance. Modification or termination of the Referral Program shall not affect rewards that have already been fully qualified and issued prior to the effective date of such change. Pending or unqualified referrals at the time of program termination shall be forfeited unless otherwise determined by Eventio in its discretion.
Participation in the Referral Program does not guarantee that any rewards will be earned or issued. Eventio makes no representations regarding the likelihood that any referral will result in a qualified reward.
Vendor acknowledges that use of certain Platform features may require or involve third-party services, including without limitation payment processors, scheduling tools, analytics providers, or links to Vendor's own external websites or social media profiles. Vendor's access to and use of any such third-party services is subject to the applicable third party's terms and policies, and Eventio does not control or assume responsibility for the acts, omissions, content, or practices of such third parties.
Vendor acknowledges and agrees that Vendor is solely responsible for all taxes, assessments, fees, and other governmental charges arising out of or relating to Vendor's use of the Platform and any payments received from Users through Eventio, including without limitation income taxes, self-employment taxes, payroll taxes, sales or use taxes, value-added taxes, and any other applicable federal, state, local, or foreign taxes. Eventio does not withhold or remit taxes on Vendor's behalf, except as may be required by applicable law.
Vendor is solely responsible for obtaining, maintaining, and complying with all insurance coverage required by law or reasonably appropriate for Vendor's business and services, including without limitation general liability insurance, professional liability insurance, workers' compensation insurance, disability insurance, unemployment insurance, and health insurance for Vendor and Vendor's employees or contractors, if any.
Vendor acknowledges and agrees that Vendor is an independent business and is not entitled to, and shall not receive, any employee benefits, workers' compensation benefits, unemployment benefits, or other benefits provided by Eventio. Vendor assumes all responsibility for compliance with employment, labor, tax, and insurance laws applicable to Vendor's business and personnel.
Eventio shall have no liability for Vendor's failure to pay taxes, obtain insurance, or comply with applicable laws or regulations, and Vendor agrees to indemnify Eventio for any claims, liabilities, penalties, or assessments arising from such failure.
The Platform may include artificial intelligence–powered tools, features, or functionality, including without limitation Eventio Match, automated recommendations, content generation, analysis tools, or other AI-enabled features ("AI Tools"). Vendor acknowledges and agrees that AI Tools and any outputs generated by such tools are provided for informational, assistive, and convenience purposes only.
AI Tools may produce outputs that are inaccurate, incomplete, outdated, biased, or otherwise incorrect. Eventio makes no representations or warranties regarding the accuracy, reliability, legality, or suitability of any AI-generated outputs, and does not guarantee that AI Tools will achieve any particular result. Vendor remains solely responsible for independently reviewing, evaluating, and verifying all AI-generated outputs before relying on them or using them in connection with Vendor's business, services, pricing, contracts, or communications with Users.
AI Tools do not constitute legal, financial, tax, accounting, event-planning, or other professional advice and are not a substitute for Vendor's own judgment or for consultation with qualified professionals. Vendor acknowledges and agrees that any reliance on AI Tools is at Vendor's own risk.
Eventio does not control, supervise, or make decisions on Vendor's behalf based on AI Tools and does not assume responsibility for actions taken or decisions made by Vendor or Users in reliance on AI-generated outputs. Eventio reserves the right to modify, update, suspend, or discontinue AI Tools at any time and makes no guarantee regarding the availability, performance, or continued functionality of such tools.
To the extent permitted by applicable law, anonymized or aggregated data derived from use of AI Tools may be used to improve the Platform, subject to Eventio's Privacy Policy.
Vendor agrees to perform services in a professional and commercially reasonable manner and to comply with all applicable federal, state, and local laws, regulations, and industry standards. Vendor is solely responsible for its employees, contractors, taxes, insurance, and business operations.
Vendor shall not engage in deceptive, misleading, unlawful, or harmful conduct; misuse the Platform; circumvent Platform fees; harass Users or Eventio personnel; or misrepresent Eventio's role in any transaction.
The Platform may allow Users to submit reviews, ratings, comments, feedback, or other content relating to Vendor or Vendor's services ("User Content"), including without limitation client reviews. Vendor acknowledges and agrees that User Content may be shared with other Users and, where applicable, displayed publicly on the Platform.
Vendor may have the ability, subject to Platform functionality, to select or display certain User Content on Vendor's profile. However, Eventio does not guarantee that all User Content will be displayed, removed, or modified at Vendor's request. Vendor may submit a good-faith challenge or dispute regarding User Content that Vendor believes is inaccurate, misleading, or inappropriate, and Eventio may review such disputes in its discretion. Eventio does not guarantee any particular outcome of such review.
Vendor acknowledges and agrees that User Content is provided by third parties and that Eventio is not responsible for, does not endorse, and does not guarantee the accuracy, completeness, timeliness, legality, or appropriateness of any User Content. Vendor further acknowledges that Vendor may encounter User Content that is inaccurate, incomplete, delayed, misleading, offensive, or otherwise harmful.
While Eventio may, in its discretion, review, moderate, or remove User Content, Eventio has no obligation to do so and does not guarantee that misuse of the Platform or inappropriate content can be prevented. Vendor agrees that Eventio shall not be liable for any User Content, any misuse of the Platform by Users, or any reliance placed on User Content.
Eventio reserves the right, but is under no obligation, to remove, restrict, or modify User Content or feedback that Eventio reasonably determines violates these Terms, negatively affects the integrity or trustworthiness of the Platform or its feedback system, harms Users or Vendors, or is otherwise inconsistent with Eventio's business interests.
Vendor acknowledges and agrees that any reviews, ratings, feedback, or other User Content displayed on the Platform reflect the opinions and experiences of Users only and do not constitute an introduction, endorsement, certification, recommendation, or guarantee by Eventio of any Vendor, User, service, or outcome. The display, ranking, or availability of reviews or feedback does not imply that Eventio has vetted, approved, or evaluated Vendor or Vendor's services.
Vendor agrees to comply with all applicable federal, state, and local anti-discrimination and civil rights laws in connection with Vendor's use of the Platform and provision of services. Vendor shall not refuse service to, charge different prices to, impose different terms on, or otherwise discriminate against any User, prospective User, Eventio personnel, or any other individual on the basis of race, color, ethnicity, national origin, religion, sex, gender, gender identity or expression, sexual orientation, age, disability, marital status, veteran status, or any other characteristic protected by applicable law.
Vendor shall not engage in harassing, abusive, threatening, discriminatory, or hostile conduct toward Eventio's employees, contractors, agents, or representatives. Eventio may suspend or terminate Vendor's access to the Platform if Vendor engages in conduct that Eventio reasonably determines to be inappropriate, unsafe, or disruptive to Platform operations.
Vendor shall not post, upload, transmit, or display through the Platform any content that is unlawful, discriminatory, defamatory, misleading, fraudulent, harassing, obscene, hateful, or otherwise objectionable, or that violates the rights of any third party. Vendor remains solely responsible for all content Vendor posts or transmits through the Platform.
Vendor acknowledges and agrees that Eventio does not undertake an obligation to monitor or investigate Vendor conduct or content but reserves the right, in its sole discretion, to remove content, restrict visibility, suspend accounts, or terminate access to the Platform if Eventio reasonably believes Vendor has violated this section, these Terms, or applicable law.
Vendor agrees to indemnify, defend, and hold harmless Eventio and its members, managers, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to Vendor's services, Vendor Content, communications with Users, violation of these Terms, or violation of applicable law or third-party rights.
THE PLATFORM AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVENTIO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. EVENTIO DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT USE OF THE PLATFORM WILL RESULT IN BOOKINGS OR REVENUE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVENTIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. IN NO EVENT SHALL EVENTIO'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT EXCEED THE LESSER OF (A) THE AMOUNT PAID BY VENDOR TO EVENTIO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100), WHICHEVER IS LESS.
In connection with Vendor's use of the Platform, Vendor may receive or have access to non-public, proprietary, or confidential information relating to Eventio, the Platform, its technology, algorithms, pricing, analytics, product features, business operations, or Users ("Confidential Information"). Vendor agrees to use Confidential Information solely for purposes of using the Platform as permitted under these Terms and not to disclose Confidential Information to any third party without Eventio's prior written consent, except as required by law.
Confidential Information does not include information that (a) is or becomes publicly available through no fault of Vendor, (b) was lawfully known to Vendor prior to disclosure, or (c) is independently developed by Vendor without use of or reference to Confidential Information.
Vendor acknowledges and agrees that unauthorized use or disclosure of Confidential Information may cause irreparable harm to Eventio for which monetary damages may be inadequate, and that Eventio may seek injunctive or equitable relief in addition to any other remedies available at law or in equity.
Before initiating any formal dispute resolution proceeding, Vendor agrees to first contact Eventio in writing to describe the nature of the dispute and the desired resolution. The parties agree to use good faith efforts to resolve the dispute informally within thirty (30) days after Eventio's receipt of such notice.
If informal resolution fails, either party may, except as expressly provided below, may initiate binding arbitration over any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or Vendor's relationship with Eventio, rather than proceeding to court. The arbitration shall be administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules, as modified by these Terms, and shall take place in Pennsylvania, unless the parties agree otherwise.
The arbitration shall be conducted by a single arbitrator with experience in commercial and technology disputes. The arbitrator shall have the authority to award all remedies available under applicable law, subject to the limitations set forth in these Terms. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
Either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of its intellectual property rights or confidential information, without first engaging in arbitration.
Vendor agrees that any dispute resolution proceedings shall be conducted solely on an individual basis and not as a class, collective, consolidated, or representative action. Vendor waives any right to participate in any such action against Eventio.
Vendor hereby knowingly and irrevocably waives any right to a trial by jury in any action, proceeding, or counterclaim arising out of or relating to these Terms or Vendor's use of the Platform.
All aspects of any arbitration under this Section 19, and any ruling, decision, or award by the arbitrator in any such arbitration, will be strictly confidential for the benefit of all parties.
This section survives termination of your use of the Services.
Eventio shall not be liable for any delay or failure to perform its obligations under these Terms resulting from events beyond its reasonable control, including without limitation acts of God, natural disasters, fires, floods, earthquakes, severe weather, pandemics or public health emergencies, war, terrorism, civil unrest, labor disputes, power or internet outages, failures of hosting or telecommunications providers, governmental orders or regulations, or failures of third-party service providers or payment processors (each, a "Force Majeure Event"). Eventio's performance shall be excused for the duration of the Force Majeure Event and for a reasonable period thereafter. Nothing in this section relieves Vendor of obligations to Users except as otherwise agreed between Vendor and User. Vendor's obligations to Users remain governed by Vendor–User agreements.
Eventio is operated from the United States and is intended for use by individuals and businesses located within the United States. Eventio makes no representation that the Platform or any services, features, or content made available through the Platform are appropriate, lawful, or available for use outside of the United States.
Vendor who accesses or uses the Platform from outside the United States does so at Vendor's own initiative and risk and is solely responsible for compliance with all applicable laws, regulations, and requirements of the United States and of any other jurisdiction from which the Platform is accessed, including without limitation laws relating to data privacy, communications, employment, consumer protection, taxation, and payments. Eventio shall have no liability arising from Vendor's use of the Platform in any jurisdiction where such use is restricted or prohibited.
Eventio may suspend or terminate Vendor's access to the Platform at any time, for any reason, with or without notice, if Vendor breaches these Terms, poses risk to Users or the Platform, or as required by law or business necessity. Termination shall not relieve Vendor of obligations incurred prior to termination. This includes not only violations of the Terms, but also creation of multiple accounts, non-payment of fees, or unethical conduct. If your access is terminated, you will not receive any refunds for unused portions of subscriptions or fees.
Upon any termination or expiration of Vendor's access to or use of the Platform, all provisions of these Terms that by their nature should survive termination shall survive, including without limitation provisions relating to Platform role and neutrality, licenses granted to Eventio, payment facilitation disclaimers, non-discrimination and conduct obligations, indemnification, disclaimers of warranties, limitation of liability, dispute resolution, governing law, and general provisions.
Eventio may modify these Terms at any time by posting updated terms on the website www.eventio.ai and/or the Platform. Vendor's continued access to or use of the Platform following notice of updated Terms may require Vendor's affirmative acceptance of the revised Terms.
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles. Only where arbitration is not applicable, any legal action arising out of or relating to these Terms shall be brought exclusively in the state or federal courts sitting in the Commonwealth of Pennsylvania, and the parties consent to personal jurisdiction therein.
Any claim or cause of action arising out of or relating to these Terms or Vendor's use of the Platform must be filed within one (1) year after such claim or cause of action arises, or it shall be permanently barred.
Eventio reserves the right, at any time and in its sole discretion, to modify, suspend, or discontinue the Platform or any features, tools, or services, temporarily or permanently, with or without notice. Eventio shall not be liable to Vendor or any third party for any such modification, suspension, or discontinuation.
Nothing in these Terms shall be deemed to create any partnership, joint venture, agency, employment, fiduciary, or similar relationship between Vendor and Eventio.
These Terms are for the sole benefit of Eventio and Vendor and do not confer any rights or remedies upon any third party.
Vendor may not assign, transfer, or delegate these Terms or any rights or obligations hereunder, whether by operation of law or otherwise, without Eventio's prior written consent. Eventio may freely assign or transfer these Terms without restriction.
Eventio's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by Eventio to be effective.
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
No usage of trade, course of dealing, or course of performance shall modify or supplement these Terms.
These Terms constitute the entire agreement between Vendor and Eventio with respect to Vendor's use of the Platform and supersedes all prior or contemporaneous agreements or communications, whether written or oral.
