These terms of use are entered into by and between the customer ("You", "Your" or the "User") and Eventive AI LLC d/b/a Eventio ("Company", "We", "Us" or "Our"). The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, these "Terms of Use"), govern Your access to and use of www.eventio.ai (the "Site") and www.portal.eventio.ai (the "Platform"), including, without limitation (hereafter "including"), any content, functionality and services offered on or through www.eventio.ai (collectively, the "Service"), whether as a guest or a registered user.

By using the Service and intending to be legally bound hereby, You accept and agree to be bound and abide by these Terms of Use and Our Privacy Policy, found at https://www.eventio.ai/privacy-policy, incorporated herein by reference. If you are under eighteen (18), you may use this Site and/or Platform only with involvement of a parent or guardian. Vendors offering services through the Platform must be at least eighteen (18) years old and have legal capacity to enter binding contracts.
For purposes of these Terms of Use, "Users" means any individual or entity that accesses or uses the Platform, including without limitation planners, hosts, or other customers seeking event planning or vendor services. "Vendors" means individuals or entities that register a vendor profile, offer event-related services or products through the Platform, and agree to the Eventio Vendor Terms of Use. "Services" includes all features of the Site and/or Platform, including planning tools, vendor search and discovery, messaging, booking tools, payment facilitation, and any other functionality provided by Eventio.
We grant You a personal, limited, non-transferable, non-exclusive license to access and use the Site and/or Platform. We may revise and update these Terms of Use from time to time in Our sole discretion. All changes are effective immediately when We post them and apply to all access to and use of the Service thereafter. However, any changes to the dispute resolution provisions set forth in Governing Law and Jurisdiction will not apply to any disputes for which the parties have actual notice prior to the date the change is posted on the Service.
Your continued use of the Service following the posting of revised Terms of Use means that You accept and agree to the changes. You are expected to check this page frequently so You are aware of any changes, as they are binding on You.

You must also ensure that You exit from Your account at the end of each session. You will use particular caution when accessing Your account from a public or shared computer so that others are not able to view or record Your password or other personal information.
We have the right to disable any user name, password, or other identifier, whether chosen by You or provided by Us, at any time in Our sole discretion for any or no reason, including if, in Our opinion, You have violated any provision of these Terms of Use.
You are responsible for all activity under your account. If you allow others to access your account (such as family members, planners, or assistants), you represent that you authorized such access. You are fully liable for all acts and omissions of such authorized users, including responses to messages, booking confirmations, and other interactions. You must ensure that any authorized users comply with these Terms of Use.
The Platform may offer tools designed to assist Users in discovering or identifying potential Vendors, including search functionality, filters, rankings, and automated matching features such as Eventio Match. These tools are provided solely for informational and convenience purposes.
Eventio does not endorse, certify, recommend, guarantee, or warrant any Vendor, service, pricing, availability, or outcome. Results generated through Eventio Match or similar tools do not constitute an introduction, endorsement, or recommendation by Eventio, and do not replace User's independent evaluation, due diligence, or judgment.
Users acknowledge that Vendor selection decisions are made solely by the User and that Eventio shall have no liability arising from reliance on marketplace tools, rankings, or recommendations.
The Platform may enable Users to identify Vendors, communicate with Vendors, request or confirm bookings, and submit payments for vendor services. Any booking, engagement, or transaction for services or products is entered into directly between the User and the Vendor. Eventio is not a party to, and does not control or enforce, any agreement between Users and Vendors.
To the extent Eventio facilitates payments, deposits, installments, or other transfers of funds between Users and Vendors, Eventio does so solely as a technology platform and payment facilitator. Eventio does not guarantee Vendor performance, service quality, availability, completion of services, or outcomes, and is not responsible for any errors, omissions, delays, cancellations, or disputes arising from Vendor services.
Users acknowledge that payments submitted through the Platform may be temporarily held, processed, or released in accordance with Platform workflows, User confirmations, dispute resolution processes, and applicable payment processor requirements. Eventio does not act as a bank, escrow agent, trustee, or fiduciary, and Users do not earn interest on any funds processed or held in connection with the Platform.
Any disputes regarding services, cancellations, refunds, chargebacks, or performance must be resolved directly between the User and the Vendor. Eventio may, but is not obligated to, assist in facilitating communications or administering fund release in accordance with a mutually agreed resolution or binding determination.
Payments made through the Platform are processed by third-party payment processors. Eventio does not process, hold, or transmit funds on its own behalf and does not store complete payment card information. Your use of payment processing services is subject to the terms, conditions, and privacy policies of the applicable payment processor.
Vendors offering services through the Platform are subject to separate terms and conditions governing their participation, including the Eventio Vendor Terms of Use. Users acknowledge that Vendors' obligations to Eventio are governed by the Eventio Vendor Terms of Use, which are available at /vendor-terms-of-use, and that such terms do not apply to Users and do not create any rights or obligations for Users.
The Service and its entire contents, features, and functionality (including all information, software, text, displays, images, video and audio, and the design, selection, and arrangement thereof), are owned by the Company, its licensors or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
These Terms of Use permit You to use the Service for Your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on Our Site and/or Platform, except as follows:

Any ratings, reviews, or feedback submitted by Users regarding Vendors or services are opinions provided voluntarily and may be publicly displayed on the Site and/or Platform and shared with Vendors. Eventio does not endorse, certify, or guarantee the accuracy or suitability of any User Content. Eventio may remove, restrict, or modify User Content that it reasonably determines violates these Terms, diminishes the integrity of the marketplace, or is otherwise inconsistent with Eventio's business interests.

Users are responsible for independently reviewing, verifying, and evaluating any AI-generated content before reliance. AI tools are not substitutes for professional judgment, and Eventio disclaims liability for decisions based on AI outputs.
The Platform may include tools that analyze, summarize, extract, or organize information from documents uploaded by Users, including contracts, proposals, invoices, or budgets (including without limitation BudgetIQ). Such tools are provided for informational purposes only and do not constitute legal, financial, accounting, or professional advice.
Eventio does not verify the accuracy, completeness, or enforceability of any document or analysis generated through these tools. Users remain solely responsible for reviewing all documents, confirming terms, and consulting with qualified professionals as appropriate before relying on any analysis or information provided through the Platform.

You will defend, indemnify and hold harmless the Company, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to Your violation of these Terms of Use or Your use of the Service, including Your User Contributions, any use of the Service's content, services, and products other than as expressly authorized in these Terms of Use or Your use of any information obtained from the Service.
All matters relating to the Service and these Terms of Use and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the Commonwealth of Pennsylvania without giving effect to any choice or conflict of law provision or rule (whether of the Commonwealth of Pennsylvania or any other jurisdiction).
Any legal suit, action or proceeding arising out of, or related to, these Terms of Use or the Service shall be instituted exclusively in the federal courts of the United States or the courts of the Commonwealth of Pennsylvania, in each case located in the Federal Court for the Middle District of Pennsylvania. You waive any and all objections to the exercise of jurisdiction over You by such courts and to venue in such courts.
Before initiating any formal dispute, Users agree to first contact Eventio in writing to describe the nature of the dispute and desired resolution, and to use good faith efforts to resolve it within thirty (30) days. Except as expressly provided otherwise, any dispute arising out of or relating to these Terms of Use or the Services shall be resolved by final and binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration shall take place in Pennsylvania. Users and Eventio agree to an individual arbitration and waive any right to a trial by jury or to participate in a class, collective, or representative action.
At Company's sole discretion, it may require You to submit any disputes arising from the use of these Terms of Use or the Service, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association, applying Pennsylvania law.
ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE SERVICE MUST BE COMMENCED WITHIN ONE YEAR AFTER THE CAUSE OF ACTION OCCURS, OR SUCH CAUSE OF ACTION OR CLAIM SHALL BE PERMANENTLY BARRED.
No waiver of by the Company of any term or condition set forth in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.
If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.
The Terms of Use and Privacy Policy constitute the sole and entire agreement between You and Eventive AI LLC with respect to the Service and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the Service.
